Each jurisdiction has its own rules for how funds can be marketed, what information must be reported, and how ongoing compliance is maintained. Understanding and following these four steps is essential for a smooth and successful fundraising journey. Below, we outline the key activities required to bring your non-EU fund to European investors and explain how our team can help you navigate each stage with confidence.
To market your non-EU fund to professional investors in Europe and the UK, you must first register under the National Private Placement Regime (NPPR) in every jurisdiction where you want to operate. Each jurisdiction has its own rules and paperwork, so you need to prepare specific documents and follow local procedures.
After registration, you must regularly report information about your fund, such as its assets, strategies, and risks, to national regulators. This is known as Annex IV reporting. The frequency and details required can vary by jurisdiction and fund type. You’ll also need to keep your compliance manuals and investor disclosures up to date and respond to any changes in regulations.
If you want to market your fund in certain countries, like Denmark or Germany , you must appoint an independent depositary to provide depositary-lite services. This depositary oversees cash monitoring, asset verification, and record-keeping to make sure you meet local rules and protect investors.
Throughout the life of your fund, you’ll need to keep up with ongoing compliance task, such as updating documents, filing reports on time, and making sure your operations match the latest regulatory expectations. If you decide to stop marketing in a country, you’ll also need to follow the correct steps to deregister your fund.
