Do’s and Don’ts When Drafting Your LPA

Event start: 29 Nov 2023 | Event end: 29 Nov 2023

This event has already taken place.

IQ-EQ is hosting a panel discussion on the “Do’s and Don’ts When Drafting Your LPA”.  The Limited Partnership Agreement (LPA) is a critical legal document that governs the relationship between investors and the funds they invest in. Despite its significance, the standardization of LPAs is a relatively recent development, with the ILPA Model LPA project commencing in 2018.

This event aims to shed light on the key considerations and best practices for drafting LPAs and navigating negotiations with investors. LPAs can encompass a wide range of subjects, including the business purpose, capital contributions, profit and loss allocation, termination conditions, and dispute resolution mechanisms, among others.

IQ-EQ, Edwin Chan, Chief Commercial Officer, UK & Ireland will be the moderator alongside speakers:

  • Tamsin Ashworth Reeves: General Counsel at Plural.
  • Tom Taylor: Head of Policy at BVCA (British Private Equity and Venture Capital Association).
  • Dale Gabbert: Partner and Head of Funds at FieldFisher.
