Case study
The client, their challenge
Our client is a U.S.-based private investment firm specialising in global real estate and real estate debt, with over $100 billion in assets under management.
The firm sought to establish a Luxembourg-based co-investment platform to enable investors to participate alongside its flagship fund. The structure included a general partner, a partnership and multiple special purpose vehicles, designed as a non-AIF structure under the Alternative Investment Fund Managers Directive (AIFMD).
The key challenge was to create a scalable, investor-ready platform that met institutional governance standards, facilitated cross-border co-investment flows and avoided unnecessary structural complexity.
