Senior Officer, Corporate Administration

Job Description

This role offers an exciting opportunity to support the Lux Fund Corporate Secretarial team within a global organization, working closely with colleagues in Luxembourg on diverse and complex client portfolios. You will play a key part in ensuring client companies remain in good standing by delivering high-quality administrative and corporate secretarial services. With exposure to cross-border operations and complex administration, this position is ideal for someone looking to grow their expertise in a collaborative, international environment.

What you'll do

  • You’ll provide end-to-end corporate secretarial support to the Luxembourg Funds CS & Cosec team in line with the SLA, acting as the main point of contact for complex clients and ensuring timely, high‑quality delivery of all requests.
  • You’ll support audits and governance activities by attending board and shareholder meetings, preparing complex board packs, finalising board minutes, and reviewing work produced by junior team members.
  • You’ll manage regulatory and compliance requirements, including preparing and reviewing RCS, RBO, UBO, bank account opening documentation, conducting transaction monitoring, and performing Compliance File Reviews (CFRs) and client onboarding activities.
  • You’ll coordinate closely with the Luxembourg FCS and Payments teams to ensure accurate and compliant payment processing while strictly adhering to internal procedures, laws, regulations, checklists, and risk‑mitigation standards.
  • You’ll support team leadership and professional excellence by coordinating deliverables for up to three junior team members, maintaining strong stakeholder relationships, developing specialist client knowledge, and continuously investing in your professional development.

Qualifications

  • You hold a bachelor’s degree in Law or a related field and are a qualified Company Secretary (CS), with over 6 years of experience in Corporate, Company, or Fiscal Law.
  • You are conversant with corporate secretarial practices, particularly involving Funds and Special Purpose Vehicles (SPVs), and have experience in private equity and real estate markets, including knowledge of various fund structures and vehicles.
  • You have hands-on experience in board governance and corporate secretarial functions, including preparing board materials, attending or leading board meetings, acting as Company Secretary, drafting complex minutes, and handling regulatory filings.
  • You are proficient in Microsoft Office applications, including email, word processing, Excel, presentations, and video conferencing tools.
  • You demonstrate strong written and advanced verbal communication skills, with mandatory fluency in English.

Desired

  • Experience working in Financial Services or Shared Services office environment.
  • Experience working in a multinational office environment.
  • Experience being a corporate secretary, paralegal, or other similar job, in other jurisdictions.
  • Being conversant with corporate secretarial practices, especially in the areas of funds and special-purpose vehicles is an advantage
  • Language - Fluency in French is an advantage
