Senior Corporate Officer PE

Job Description

  • Reports directly to the Head of Delivery
  • Co-ordinates and reviews all administrative and legal formalities and responds to  client queries (such as account opening, mergers, acquisition of participations, board resolutions, official publication and filing, notarial and private deeds, incorporation and liquidation of company etc.)
  • Convenes and chairs board and shareholders meetings and reviews related minutes and/or documentation
  • Signals any legal/tax/accounting/compliance isues related to client transactions, and liaises with the client and/or advisors
  • Assistance with the closing of transactions, including the review and negotiation of transaction documents, coordination of the approval process and attending to all associated matters
  • Ensures the accuracy and completeness of client files, including Transaction Monitoring, in cooperation with the (Senior) Accounting Officer
  • Maintains regular contacts with clients, banks and other external parties
  • Co-ordinates and executes day-to-day administrative and legal formalities of a dedicated client portfolio in accordance with the legal and regulatory requirements, and in line with external advice and SGG procedures
  • Drafts and assesses any kind of agreements to document transactions
  • Aligns the best interests of the Object Company with those of the client’s group, the client itself, SGG and all other stakeholders, and sets the correct priorities
  • Ensures the accuracy and completeness of client files in cooperation with (Senior) Accounting Officer and Corporate Manager/Principal
  • Reports to regulatory bodies
  • Follows-up and manages on-going client business and possibilities for organic growth
  • Shares market developments within SGG as well as externally with clients and advisors
  • Follows legal, tax and accounting developments and translates these into practice with their portfolio of clients
  • Acts as a sparing partner for clients, colleagues and advisers
  • Coaches and trains junior staff    
  • KYC (Know Your Customer): Monitors files, addresses  errors and risks proactively

Qualifications

  • Master in corporate, company or fiscal Law
  • At least 3 to 5 years of experience in a comparable position, exposure to multinational investment structures is a definite advantage,  experience in account management or as a Lawyer at a (Dutch) law office
  • Theoretical knowledge of project management (roles and responsibilities) applied to client services
  • Comfortable giving presentations and addressing and negotiating all project related subjects in own area of expertise at internal and external meetings
  • Basic knowledge of debtor management and understanding of how client fees are structured
  • Knowledge of MS Office and familiarity with relevant computer software
  • Amongst others, experience with drafting and drawing up legal agreements / experienced in handling client acceptance procedures / experienced in mergers and aquisitions, drafting resolutions and minuting, incorporation and liquidation of a company, proxies, understanding of international tax concepts
  • Knowledge of SGG organisation (mission, vision, global sites), comprehensive knowledge of services provided across units, understanding of general functioning of SGG
