Job Description
- Assist with day to day administrative and legal formalities in accordance with the law
- Comply with the rules of the internal administrative procedures in accordance with the requirements of IQ EQ
- Contribute to client retention
- Assists with the administrative and legal formalities and answers client’s requests (such as accounts opening, acquisition of participations, board resolutions, official publication and filing, notarial and private deeds, incorporation and liquidation of company…)
- Organizes board- and shareholders meetings and drafts related minutes and/or documentation e.g. shareholders agreements on request
- Prepares internal and external legal documents e.g. board resolutions, loan agreements, proxies…
- Executes, checks, files and archives administrative, legal documents
- Ensures the accuracy and exhaustiveness of client files in cooperation with Accounting Officer
- Checks proper legal documentation of bank transactions
- Executes and ensures timely delivery of quality service Checks and follows up on client satisfaction
- Prepares and maintains documents and statements for the compliance files of clients
- Informs external clients on the progress of tasks done
- Act as corporate secretary during board meetings
- Preparation of board packs
- Ordering RCS extracts, review filings
- Prepare or review RCS/eCDF filings
- Be the main point of contact for daily operations on clients
- Assist the CSM and SCO in preparing deliverables and meeting deadlines in a timely manner
- Assist with the audit process
- Schedule client/board meetings, calendar invites etc.
- Ensure regulatory compliance
- Maintain personal time recording
- Understand fee agreements and identify out-of-scope services
- Maintenance of board minutes trackers and filing trackers
Qualifications
- Bachelor/Master in Corporate, Company or Fiscal Law, Economics, Finance
- 3 to 6 years of overall corporate secretarial/administrative experience in Private Wealth, preferably in professional services and multinational environment
- Experience with drafting and drawing up legal agreements. Basic understanding of handling: acquisition of participations, board resolutions, incorporation and liquidation of a company, proxies
- Experienced in handling: acquisition of participation's, board resolutions, incorporation and liquidation of a company, proxies, advanced knowledge of annual reporting law.
- Fluent in English and French, any additional language would be considered an asset
- Knowledge of MS Office
- Knowledge of Luxembourg company law is an asset (including financial vehicles, SOPARFI, SICAR, SIF, RAIF)
