Corporate Lawyer

Job Description

• Co-ordinates and executes day to day corporate and legal requests in accordance with the law, and provides solutions to client requests (e.g. prepares, reviews, negotiates and coordinates transaction documents in relation to M&A, financing and restructuring deals, arranges bank account opening, plans and handles board meetings for client entities)
• Leads the process of establishing new companies in compliance with legal and regulatory requirements in Cyprus
• Ensures that the client entities in their portfolio are in good standing and that all company law and contractual requirements are complied with
• Builds, develops and maintains professional relationships with clients. Serves as a primary point of contact for the clients, understands their requirements and provides legal/ corporate assistance.
• Chairs director and shareholder meetings, prepares and/or reviews related minutes and documentation
• Drafts and/or reviews internal and external corporate documents (i.e. board resolutions, minutes of meetings, shareholder agreements, Articles of Association) and provides feedback on legal/ corporate requirements
• Manages and maintains accurate records and documentation related to company processes, ensuring completeness and compliance with legal requirements.
• Maintains regular contacts with banks, auditors and other external stakeholders
• Acts as a first line of defense in terms of transaction monitoring, monitors KYC and performs due diligence work for clients and counterparties in accordance with IQ-EQ compliance policies
• Ensures proper maintenance of the compliance standards in accordance with IQ-EQ policies  
• Trains and develops team members within their role
