Job Description
We’re a leading Investor Services group offering end-to-end services in administration, accounting, reporting, regulatory and compliance needs of the investment sector worldwide.
You will be responsible for all company secretarial matters relating to a portfolio of clients.
What you’ll do
- Manage full spectrum of corporate secretarial duties for fund structures (e.g., VCCs, LPs, SPVs) and corporate entities.
- Ensure compliance with the Singapore Companies Act and other relevant statutory requirements.
- Handle incorporation of new companies, registration of branches and other entities.
- Prepare and file statutory documents (e.g., annual returns, resolutions, changes in officers/shareholders) with ACRA
- Maintain statutory registers and minute books in accordance with ACRA requirements
- Coordinate board and shareholder meetings, including drafting agendas, minutes, and resolutions.
- Attend and conduct board meetings where required, and draft accurate and timely board minutes.
- Provide advisory support on corporate governance and regulatory matters.
- Review work prepared by junior team members and provide guidance and mentorship.
- Liaise with clients, auditors, legal advisors, and regulatory authorities.
- Support client onboarding
- Experience in organizing and conducting board meetings and drafting minutes.
- Well-versed in Bizfile, E-stamping, CAS system and Microsoft office applications.
- Serve as the primary point of contact for assigned clients, ensuring timely and professional communication.
- Advise clients on corporate governance, compliance obligations, and regulatory changes.
- Liaise with auditors, legal counsel, tax advisors, and regulatory bodies as needed.

Qualifications
- Degree in Business Administration, Law, or a related discipline.
- ICSA qualification or equivalent is preferred.
- Minimum 5 years of relevant experience in corporate secretarial services, especially in the areas of funds and special purpose vehicles.
- Conversant with the Singapore Companies Act and the Variable Capital Companies Act as appropriate.
- Ability to work independently with minimum supervision and as part of a team in a fast-paced
- Accountability and proactive and good communication skills.
- Excellent written and verbal communication skills.
- Detail-oriented, proactive, and able to manage multiple deadlines.
