Assistant Company Secretary

Job Description

What You'll Do -

  • Responsible for company secretarial, corporate and administrative affairs relating to a portfolio of client companies
  • Builds and maintains strong relationships with clients and external stakeholders
  • Proactively develop and maintain strong and effective working relationships within the Company and on occasions across the Client Services teams in other jurisdictions, promoting a culture of support, collaboration and a joined-up approach to servicing clients
  • Scheduling and co-ordination of Board meetings to include:
    • Preparing agendas, drafting board papers and resolutions, preparing board packs, organising, attending and minuting of Board meetings for review by the Senior Asst. Company Secretary
    • Maintaining and managing a schedule of agenda items and actions in respect of Board meetings and following up with responsible parties
    • Preparing relevant documentation for and managing AGMs
  • Ensuring the maintenance of all statutory records and company registers
  • Facilitation of ad hoc tasks requested as they come across (share capital matters, dividends, written resolutions, etc.) and ensuring timely response and completion.
  • Compliance with KYC and AML requirements in relation to company changes (Directors, PSCs, Shareholders)
  • Providing support and assistance to the Senior Company Secretarial Assistant on day-to-day company secretarial and corporate governance matters.
  • Completion of daily time sheets ensuring correct allocation and billing of time against client activities.

Qualifications

What You Bring - 

  • Educated to degree level and/or equivalent professional qualification e.g. ICSA or ICSA part qualified, etc.
  • Experience with Diligent preferred  
  • Experience with Board Intelligence would be beneficial
  • Demonstrable experience in a corporate services provider or in-house environment providing services to multiple clients and managing client relationships
  • Excellent organisational, prioritisation and interpersonal skills
  • Highly proficient in professional English communication, both verbal and written with the ability to articulate complex ideas clearly and effectively.
  • Excellent working knowledge of relevant IT platforms and applications
