The Financial Conduct Authority (FCA) sets a high bar for overseas firms, but with the right structure and preparation, the path to authorisation is clear. Here\u2019s what international firms need to know \u2013 and how to get it right.<\/p>\n<h2>What do international firms need to get authorised?<\/h2>\n<p>To operate in the UK, overseas firms must meet the FCA\u2019s threshold conditions under the Financial Services and Markets Act (FSMA). In simple terms, the FCA is asking five questions:<\/p>\n<ol>\n<li>Is your business model credible?<\/li>\n<li>Do you have enough financial and operational resources?<\/li>\n<li>Are key decisions being made in the UK (\u201chearts and minds)<\/li>\n<li>Can the FCA effectively supervise you?<\/li>\n<li>Are your people fit and proper?<\/li>\n<li>What does being supervised really mean?<\/li>\n<\/ol>\n<p>This is where many firms fall down. At a minimum, you need:<\/p>\n<ul>\n<li>A real UK presence (brand or incorporated identity)<\/li>\n<li>Registration with Companies House<\/li>\n<li>Clear governance and reporting lines<\/li>\n<li>The ability to provide accurate, timely information to the FCA<\/li>\n<\/ul>\n<p>In practice, the FCA is looking for more than a legal footprint. Your governance framework, corporate plans, risk management, compliance framework and systems and controls must all work in a UK regulatory contest \u2013 not just at a group level.<\/p>\n<h2>Where should your people be based?<\/h2>\n<p>You can use group resources outside the UK \u2013 but with limits.<\/p>\n<p>You must:<\/p>\n<ul>\n<li>Retain oversight and control of outsourced functions<\/li>\n<li>Avoid over-reliance on offshore teams that weakens governance<\/li>\n<li>Ensure key roles are properly anchored in the UK<\/li>\n<\/ul>\n<p>The FCA also requires that individuals conducting controlled functions (those conducting regulated activities, such as making investment decisions or dealing with clients) operate in their jurisdiction. For international firms to comply, certified staff must be UK-based and UK-certified.<\/p>\n<p>Exception: individuals spending fewer than 30 days during a twelve-month period in the UK may not need certification so long as there is proper supervision from a regulated person at the firm.<\/p>\n<h2>What does \u201chearts and minds\u201d mean in practise?<\/h2>\n<p>The FCA expects decision-making to happen the UK. Typically, that means:<\/p>\n<ul>\n<li>A majority of senior management or board members are based in the UK<\/li>\n<li>UK leadership has real authority not just oversight<\/li>\n<li>Key decisions affecting the UK business are made locally<\/li>\n<\/ul>\n<h2>Branch vs subsidiary: which structure works best?<\/h2>\n<p>Choosing the right structure is critical.<\/p>\n<p><strong>Branch<\/strong><\/p>\n<ul>\n<li>Faster and more flexible to establish<\/li>\n<li>Harder for the FCA to supervise<\/li>\n<li>FCA approval effectively applies to the entire group<\/li>\n<\/ul>\n<p>Typical subject to closer regulatory scrutiny given jurisdictional differences and the potentially complex insolvency procedures<\/p>\n<p><strong>Subsidiary<\/strong><\/p>\n<ul>\n<li>Separate UK legal entity<\/li>\n<li>Preferred by the FCA<\/li>\n<li>Easier to supervise and demonstrate control<\/li>\n<li>Simplifies meeting hearts and minds requirement given most senior managers already operate from within the UK<\/li>\n<\/ul>\n<h2>The Appointed Representative (AR) route<\/h2>\n<p>Not ready for full authorisation? The AR model offers an alternative.<\/p>\n<ul>\n<li>Operate under another firm\u2019s (the principal firm) regulatory licence<\/li>\n<li>Faster route to market<\/li>\n<li>Lower upfront regulatory burden<\/li>\n<\/ul>\n<p>However:<\/p>\n<ul>\n<li>You must follow the principal\u2019s policies and oversight<\/li>\n<li>You have less operational flexibility<\/li>\n<\/ul>\n<p>Many firms use this as a stepping stone before applying for direct authorisation.<\/p>\n<h2>FCA priorities for 2026: what changing?<\/h2>\n<p>The FCA is becoming more targeted and proactive, with <a href=\"https:\/\/www.fca.org.uk\/regulatory-priorities\">sector-specific priorities<\/a>, more consistent regulatory expectations.
