Contracting Support Lawyer

Job Description

To primarily provide legal support to the IQ-EQ Continental Europe region, in particular the Netherlands, and additional legal support to the IQ-EQ global business as may be required from time to time.

In this role, you will be responsible for drafting a variety of agreements including client engagement agreements and you will as such be expected to work closely with client services teams. This position reports directly to the senior legal team located in the Netherlands.

Functional areas and responsibilities:

Agreements and documents

  • Drafting of legal agreements (on the basis of approved templates) to be entered with (prospective) clients including (but not limited to) administrative/accounting/corporate services agreements, engagement letters, indemnity agreements, confidentiality agreements, fund administration agreements, resignation and termination letters, amendment agreements, data processing agreements, addenda and side letters;
  • Logging, archiving and tracking the status of all legal agreements and other documents;
  • Maintaining internal (client) database and legal dashboard up to date;
  • General legal administration.

Other legal issues

  • Providing assistance and support for any ad hoc legal issues that may arise;
  • Drafting ad hoc documents and letters;
  • Conducting legal research, where required;
  • Providing assistance with the creation and updating of internal procedure documents, where required;
  • Supporting any other reasonable business request or duties, as required;
  • Updating and maintaining the log of active legal matters within the team and status reports.

Qualifications

Must Have

  • Law degree from a reputable university;
  • A qualified lawyer in the Philippines, Singapore, Hong Kong or other relevant jurisdictions;
  • Requisite experience gained in a reputable law firm or in-house.
  • Legal research and drafting skills;
  • Drafting commercial legal agreements and related documents;
  • Corporate, commercial and contract law;
  • Providing legal advice or assistance on a variety of legal matters;
  • Ability to work efficiently with various applications such as Word, PowerPoint, PDF, Excel etc;
  • Very strong organisational skills and adaptable and flexible with regard to activities undertaken;
  • Strong commercial awareness – a genuine interest in business drivers and the intellectual capacity to quickly pick up new business concepts;
  • Excellent communication skills both oral and written;
  • Ability to work collaboratively with various teams;
  • Meticulous and detail conscious.

Nice to have

  • Private equity industry experience – preferably in financial services and/or fund structuring (deal experience also acceptable);
  • Global corporate structures, similar to the IQ-EQ Group structure, preferably with some experience in civil law;
  • Data protection law and financial services regulation.
