Job description

Responsibilities

The selected candidates will be required to master all aspects of corporate secretarial tasks related to each type of corporate structure as serviced by the Group. They can perform such tasks without little or no supervision or coaching.

All work delivered will be accurate, well-presented and meet quality standards.

The role holder has one direct reporting relationship, and one dotted reporting line:

  • Direct reporting line will be to the Operations Director – IQ EQ Shared Services Mauritius  (task assignment / planning of work / staff matters / content and quality of work / contacts and relationship / core business processes)
  • Dotted reporting line will be into the respective Jersey CoSec team, who will provide training, guidance and support.

  • Company Migration
  • Company Summary Winding Up (Jersey)
  • Company Summary Winding Up (Jersey) - notification to Jersey Income Tax
  • Company Dissolution (BVI)
  • Company Transfer In
  • Company Transfer Out
  • UBO Registrar Updates (BOC17)
  • Change of Directors / Officers (minutes and associated documents) and 5 series update
  • Director / Officers Registrar/Agent Update
  • Share Allotments (minutes and associated documents) and 5 series update
  • Share Transfers (minutes and associated documents) and  5 series update
  • Share Redemptions (minutes and associated documents) and 5 series update
  • Obtaining and preparing Register of Members from 5 series
  • Filing of Special Resolutions JFSC
  • Change of M&AA (Jersey)
  • Change of Company Name (Jersey)
  • Order Certificate of Good Standing / Certificate of Incumbency (Jersey and BVI)
  • Obtaining documents from Companies Registry / UK Land Registry
  • Jersey Annual Confirmation - Upload new entities to my Registry
  • Guernsey Annual Validations
  • Notarisation, Legalisation and Apostilliation
  • CDD requests for third parties and provision of CDD for IQ EQ authorised signatories
  • Final Data checks of FATCA/CRS self-certification forms and updates to 5 series
  • Data Input Change Forms (all updates)
  • CST Inbox maintenance and review
  • PB Set Ups / 5 series tasks
  • PB Terminates / 5 series tasks
  • Trust Establishment
  • Trust Transfer In
  • Trust Transfer Out
  • Foundation Establishment
  • Limited Partnership Establishment
  • Managing updates to policies and procedures on Insight
  • LEI registrations
  • JOIC Register
  • To ensure protections of information assets of IQ-EQ MU and to abide by the ISMS in place at IQ-EQ MU.

 

Qualifications

Education / professional qualifications

  • Studying towards or Qualified with STEP Diploma or ICSA

Background experience

  • Minimum 2 years of experience in a similar, corporate Secretarial role

Technical

  • Experienced in corporate administration of corporate structure

Computer / program knowledge

  • Advanced level of capability of 5 Series, Word & Excel

Languages

  • Fluent in English
