Job description

Responsibilities (how we will measure success)

  • Responsible for company secretarial, corporate and administrative affairs relating to a portfolio of client companies
  • Builds and maintains strong relationships with clients and external stakeholders
  • Proactively develop and maintain strong and effective working relationships within the Company and on occasions across the Client Services teams in other jurisdictions, promoting a culture of support, collaboration and a joined up approach to servicing clients

Tasks (what does the role do on a day-to-day basis)

  • Scheduling and co-ordination of Board and Committees meetings
  • Preparing agendas, drafting board papers and resolutions, preparing board packs, organising, attending and minuting of Board and Committee meetings for review by the Company Secretary
  • Maintaining and managing a schedule of agenda items and actions in respect of Board and Committee meetings and following up with responsible parties
  • Preparing relevant documentation for and managing AGMs and EGMs
  • Ensuring the maintenance of all statutory records and company registers
  • Providing support and assistance to the Company Secretary on day-to-day company secretarial and corporate governance matters


  • Educated to degree level and/or equivalent professional qualification e.g. ICSA or ICSA part qualified, etc.
  • Demonstrable experience in a corporate services provider or in-house environment providing services to clients and managing client relationships
  • Excellent organisational, prioritisation and interpersonal skills
  • Excellent working knowledge of relevant IT platforms and applications
